G.D.G. Software Affiliate Program Terms of Service
This Affiliate Agreement (hereinafter the “Agreement”) is made and agreed to between G.D.G. Software SAS, a company registered in France, its subsidiaries, affiliates, successors, and assigns (collectively referred to as “G.D.G. Software”) and you (“You” or “Your”) regarding the G.D.G. Software Affiliate Program (“Program”). This Agreement is designed to ensure a smooth collaboration by making our affiliate partnership requirements clear and complies with applicable European Union regulations, including the General Data Protection Regulation (GDPR) (EU) 2016/679 and French data protection laws (Loi Informatique et Libertés).
By joining the Program, you confirm that you have read, understood, and have the full right, power, and authority to enter into and be bound by the terms of this Agreement without the approval or consent of any other party.
Important Notice: At present, we can only accept applications from registered businesses or individuals acting as independent contractors who can provide a valid invoice for the services rendered as affiliates, in compliance with French and EU tax regulations.
1. Registration
1.1. Eligibility: Only individuals 18 years of age or older may participate in this Program. Your application to become a G.D.G. Software affiliate is subject to a manual review process to assess compatibility with our business standards. The review process may take up to 5 business days, and you will be notified of our decision via email.
1.2. Information Requirements: You must provide accurate, complete, and up-to-date information, including personal data (e.g., name, business details, payment information) and details of the website(s) or platform(s) you intend to use to promote G.D.G. Software products, in accordance with GDPR requirements.
1.3. Reasons for Rejection: Applications may be rejected for reasons including, but not limited to, websites or businesses that:
- Promote or display violence, discrimination, sexually explicit materials, copyright or trademark infringement, spamming, scamming, or any illegal activities;
- Include “G.D.G. Software,” “gdgsoft,” or their variations/misspellings in their domain name;
- Replicate or resemble our website design in a way that could mislead customers into believing you are G.D.G. Software or an affiliated entity;
- Resell any of our products;
- Are not aligned with our business standards or are deemed inappropriate for our products.
We reserve the right to decline applications at our sole discretion without providing a specific reason.
1.4. Communications: By becoming an affiliate, you agree to receive occasional emails from G.D.G. Software regarding updates to the Program, changes to these Terms and Conditions, or other relevant information. You may opt out of non-essential communications in accordance with GDPR.
2. Commission Structure and Payouts
2.1. Commission Rate: You will earn a minimum commission of 30% on each valid sale of G.D.G. Software paid products (as listed on gdgsoft.com) generated through your affiliate link. Commissions apply only to the initial purchase of a paid product and not to recurring payments, renewals, or free software. You will not earn a commission on the purchase of your own G.D.G. Software products or on sales generated with special discounts or coupons.
2.2. Cookie Duration: The standard cookie duration is 30 days. Customers must complete a purchase within 30 days of clicking your affiliate link for you to earn a commission. If a customer clicks multiple affiliate links, the commission is awarded to the last affiliate whose link was clicked, provided the purchase occurs within the 30-day window.
2.3. Money-Back Guarantee: G.D.G. Software offers a 30-day money-back guarantee. Commissions will only be paid for sales that are older than 30 days and not subject to refunds.
2.4. Payout Threshold and Process: The minimum payout threshold is €100. Commissions are paid monthly in Euros (€) via PayPal Payout, provided a valid invoice is received. Affiliates can upload a valid invoice in PDF format through the “Account” page in the affiliate dashboard or send it via email to [email protected] by the 10th of the month following the commission period (e.g., by February 10th for January sales). Payments will be processed on or around the 20th of the same month for valid sales from the previous month. If the €100 threshold is not met or no invoice is provided, commissions will roll over to the next payment cycle.
Example: By January 31st, you have €250 in accepted, unpaid commissions. By February 10th, you upload an invoice in PDF format for €250 via the affiliate dashboard. Payment is transferred on or around February 20th.
2.5. Manual Payment Requests: Affiliates may request a manual payment through the “Account” page in the affiliate dashboard if they prefer not to wait for the standard payout schedule. Manual payment requests must include a valid PDF invoice and meet the €100 threshold. Manual payments will be processed within 10 business days of approval, subject to verification.
2.6. Invoice Requirements: Affiliates must submit valid invoices compliant with French and EU tax regulations. You may delay invoicing for up to 3 months to reach a higher amount, but payments will only be processed upon receipt of a valid invoice.
2.7. Tax Compliance: You are solely responsible for complying with all applicable tax laws in your country of residence or operation related to affiliate earnings. G.D.G. Software will not be liable for any tax obligations arising from your participation in the Program.
2.8. Commission Approval: All commissions are subject to approval and will be marked in your affiliate dashboard as “Pending,” “Unpaid,” “Rejected,” or “Paid.” We reserve the right to adjust commission rates at our discretion, with 30 days’ prior notice via email.
2.9. Multi-level Affiliate Commissions: As part of the Program, you may earn additional commissions through our Multi-level Affiliates feature by recruiting other affiliates (“children”). You will earn commissions on the sales generated by your recruited affiliates across multiple levels, calculated as a percentage of their commissions (not the total sale amount):
- Level 1 (Children): 20% of the commission earned by affiliates you directly recruit.
- Level 2 (Grandchildren): 10% of the commission earned by affiliates recruited by your children.
- Level 3 (Great-Grandchildren): 5% of the commission earned by affiliates recruited by your grandchildren.
Example: If one of your children affiliates sells a €100 product and earns a 30% commission (€30), you earn 20% of their commission (Level 1), which is €6. If their recruit (your grandchild) makes a €100 sale and earns €30, you earn 10% of their commission (Level 2), which is €3. If your grandchild’s recruit makes a €100 sale and earns €30, you earn 5% of their commission (Level 3), which is €1.50.
These multi-level commissions are subject to the same payout threshold (€100), approval process, and money-back guarantee as standard commissions. You are responsible for ensuring that your recruitment activities comply with GDPR (e.g., obtaining consent if collecting personal data) and EU advertising laws (e.g., clear disclosure of your affiliate relationship). G.D.G. Software reserves the right to adjust multi-level commission rates with 30 days’ prior notice via email.
3. Promotion Permissions and Restrictions
3.1. Permitted Promotional Methods:
- Sharing your affiliate link directly with individuals or potential customers interested in G.D.G. Software paid products;
- Writing reviews or articles on your blog or website about G.D.G. Software paid products (e.g., ExeOutput for PHP, XLS Padlock, or other paid software listed on gdgsoft.com) and including your affiliate link or provided creative assets;
- Promoting your affiliate link via social media, provided it complies with the platform’s terms and conditions;
- Including your affiliate link in emails to existing subscribers or customers, ensuring recipients have opted in and can unsubscribe, in compliance with GDPR and EU anti-spam laws (Directive 2002/58/EC);
- Mentioning your affiliate link or discount code in podcasts or other media.
3.2. Prohibited Promotional Methods:
- Spamming in any form, including unsolicited emails, mass commenting, posting links in unauthorized forums or groups, or sending unsolicited direct messages;
- Misrepresenting G.D.G. Software or its products, including using false information, fake testimonials, or pretending to be an employee or representative of G.D.G. Software;
- Using paid advertising (e.g., PPC campaigns) for your affiliate link, including keywords such as “G.D.G. Software,” “gdgsoft,” “gdgsoft coupon,” or “gdgsoft discount”;
- Placing your affiliate link or discount code on coupon websites;
- Incorporating “G.D.G. Software” or “gdgsoft” in your domain name, username, or promotional materials in a way that implies you are G.D.G. Software;
- Direct linking to gdgsoft.com or product pages (e.g., ExeOutput for PHP, XLS Padlock, or other paid software listed on gdgsoft.com) in advertisements;
- Using iframes or other techniques to place affiliate tracking cookies without a legitimate click-through;
- Promoting pyramid schemes, multi-level marketing (MLM) businesses, or incentivized programs that attract fraudulent or short-term customers. Note that our Multi-level Affiliates feature (see Section 2.9) is a legitimate commission structure based on actual product sales and does not constitute a pyramid scheme.

4. Data Protection and GDPR Compliance
4.1. Data Processing: G.D.G. Software, as a France-based company, complies with GDPR and French data protection laws. Personal data provided by you (e.g., name, email, payment details) will be processed solely for managing your participation in the Program, processing payments, and complying with legal obligations. Data will be stored securely and shared only with necessary third parties (e.g., PayPal for payments) or as required by law.
4.2. Your Rights: Under GDPR, you have the right to access, rectify, erase, restrict processing, or request portability of your personal data, and to object to processing. Contact us at [email protected] to exercise these rights.
4.3. Affiliate Responsibilities: You must ensure that your promotional activities comply with GDPR, including obtaining explicit consent for any personal data collected (e.g., via cookies or forms) and providing clear privacy notices. G.D.G. Software is not liable for your non-compliance with GDPR or other data protection laws.
5. EU Consumer and Advertising Régulations
Affiliates must comply with EU consumer protection laws (e.g., Directive 2005/29/EC on unfair commercial practices) and advertising regulations. You must clearly disclose your affiliate relationship with G.D.G. Software in all promotional materials, ensuring transparency about financial or in-kind compensation. Failure to comply may result in withholding of commissions and account termination.
6. Account Security
You must use a username/password combination to access your affiliate account and are responsible for keeping this information confidential. You may update this information in the affiliate area. You are solely responsible for any use of your account, including by authorized third parties. G.D.G. Software reserves the right to terminate accounts without prior notice for fraud, system abuse, or activities deemed inappropriate, in violation of this Agreement, or illegal under French or EU law.
7. Program Operations
G.D.G. Software is responsible for providing information to create affiliate links, processing orders, tracking sales, and providing sales statistics. We handle all payment processing, shipping, cancellations, returns, and customer service. Determinations regarding these matters are binding absent manifest error.
8. Account Termination
8.1. Voluntary Termination: Either party may terminate this Agreement at any time, with or without cause, by providing written notice via email.
8.2. Involuntary Termination: G.D.G. Software reserves the right to terminate your account immediately without prior notice if you breach any term of this Agreement, including non-compliance with GDPR, EU consumer laws, or other regulations. Upon termination, any pending or unpaid commissions related to violations will be withheld, and your personal data will be deleted in accordance with GDPR, except where retention is required by law.
9. Independent Contractor Status
You acknowledge that you are an independent contractor, and participation in the Program does not create an employment relationship with G.D.G. Software. You have no authority to make or accept offers or representations on our behalf. This Agreement does not establish a legally binding partnership, and you may not take legal action against G.D.G. Software based on this relationship.
10. Disclaimer of Warranties
THE PROGRAM AND ALL SERVICES ARE PROVIDED “AS IS,” WITH NO WARRANTIES WHATSOEVER. ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY FRENCH AND EU LAW. G.D.G. SOFTWARE DISCLAIMS ANY WARRANTIES FOR THE SECURITY, RELIABILITY, TIMELINESS, OR PERFORMANCE OF THE PROGRAM. ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE PROGRAM IS AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGES OR DATA LOSS.
11. Limitation of Liability
G.D.G. SOFTWARE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR PARTICIPATION IN, USE OF, OR INABILITY TO USE THE PROGRAM, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES TO THE FULLEST EXTENT PERMITTED BY FRENCH AND EU LAW.
12. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of France. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of France.
13. Changes to Terms
G.D.G. Software reserves the right to modify these Terms and Conditions at any time. You will be notified of changes via email at least 30 days in advance. Continued participation in the Program after such changes constitutes acceptance of the updated terms.
